Contract drafting, review and negotiation is the foundational discipline of this firm and the work to which we give the greatest care. We prepare and negotiate the agreements through which clients acquire rights, generate revenue, allocate risk and bind their counterparties, with particular attention to the provisions that are read only in adversity — indemnity, limitation, termination, survival, assignment and governing law. Our drafting is designed to be read three years later by someone who was not in the room.
